Directors and corporate governance
Greencoat Renewables plc is committed to high standards of corporate governance and the Board is responsible for ensuring those high standards are achieved. The Company adopted the AIC Code of Corporate Governance for Investment Companies (the ‘AIC Code’) as a basis for corporate governance reporting since its listing in 2017. Following the revision to AIM Rule 26, the Company has now formally elected to follow this code on a comply or explain basis. The Board confirms that Greencoat Renewables plc has complied with the AIC Code.
As required by the AIC Code, Greencoat Renewables plc’s compliance with the AIC Code was reviewed before the publication of the Annual Report for the period ended 31 December 2024, released on 06 March 2025. Details of how Greencoat Renewables plc complies or explains against the AIC Code are therefore included in this report on pages 31 to 37, which is available here. In addition, the Company has summarised its compliance with the principles of the AIC Code in the attached summary available here.

Greencoat Renewables plc is incorporated in the Republic of Ireland (registration number 598470) and its main country of operation is the Republic of Ireland.

Greencoat Renewables plc is a public limited Company incorporated in Ireland and its ordinary shares are admitted to trading on the Euronext Growth Market of Euronext Dublin and AIM of the London Stock Exchange. As a result, the Company is subject to the provisions of the Irish Takeover Rules. The Irish Takeover Rules regulate acquisitions of the Company's securities. Irish Takeover rules are defined as "The Irish Takeover Panel Act 1997, Takeover Rules, 2022 (as amended)".
